Equity Issuance

OFA Group entered into an amendment to a waiver with Atsion Opportunity Fund LLC – Series 1, which modifies the consequences of a default on a commitment fee payment. If a default occurs, the remaining unpaid balance of the commitment fee will be converted into Class A ordinary shares, capped at 3,000,000 shares.
