On May 18, 2026, S&P
Global Inc. (the “Company”) issued a press release pursuant to Rule 135c of the U.S. Securities Act of 1933, as amended
(the “Securities Act”), announcing the commencement of a $2,000,000,000 private offering of senior notes due 2029 (the “2029
Notes”), senior notes due 2031 (the “2031 Notes”) and senior notes due 2036 (the “2036 Notes” and, together
with the 2029 Notes and the 2031 Notes, the “Notes”) by Mobility Global Inc. ahead of its planned separation. The Notes are
being offered for sale to persons reasonably believed to be qualified institutional buyers in an offering exempt from registration pursuant
to Rule 144A under the Securities Act, and to persons outside the United States in compliance with Regulation S under the Securities
Act. Mobility Global Inc. is a recently formed holding company for the Company’s Mobility division, which the Company intends to
separate from its current business by means of a spin-off to its shareholders. In accordance with Rule 135c(d) under
the Securities Act, a copy of the press release is attached hereto as Exhibit 99.1, which is incorporated herein by reference.
