Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 23, 2026, Christopher McCormick informed the Board of Directors
(the “Board”) of Levi Strauss & Co. (the “Company”) of his decision to retire as a member of the Board effective
as of the Company’s 2026 annual meeting of shareholders (the “2026 Annual Meeting”). Therefore, Mr. McCormick will not
stand for reelection to the Board at the 2026 Annual Meeting. Mr. McCormick’s decision was not due to any disagreement with the
Company or the Board. Mr. McCormick intends to continue to serve as a director until the completion of his current term at the 2026 Annual
Meeting.
