(the “Company”) of his decision to retire as a member of the Board effective as of the Company’s 2026 annual meeting of shareholders (the “2026 Annual Meeting”). Therefore, Mr. McCormick will not stand for reelection to the Board at the 2026 Annual Meeting. Mr. McCormick’s decision was not due to any disagreement with the Company or the Board.
