On February 21, 2024, Rivian Automotive, Inc. (the “Company”) furnished a Current Report on Form 8-K (the “Original 8-K”) that attached a press release (the “Press Release”) announcing its financial results for the fourth quarter and full year ended December 31, 2023. This Current Report on Form 8-K/A (the “8-K/A”) amends the Original 8-K solely for the purpose of correcting a clerical error regarding the period over period comparison in previously reported deliveries from the prior version of the Press Release issued on February 21, 2024. As reported in our shareholder letter furnished with the Securities and Exchange Commission on the same date, there was a 147 percent increase in deliveries for the year ended December 31, 2023 as compared to the year ended December 31, 2022, as opposed to the fourth quarter of 2023 compared to the fourth quarter of 2022 as stated in the prior version of the Press Release. Other than the correction discussed in this 8-K/A, no other changes have been made to the Original 8-K or the exhibits furnished therewith. Item 2.02 - Results of Operations and Financial Condition. The corrected Press Release announcing the Company’s financial results for the fourth quarter and full year ended December 31, 2023 is furnished as Exhibit 99.1 to this 8-K/A and is incorporated herein by reference.
