Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 15, 2021, The Eastern Company (the “Company”) received notice that one of its directors, Michael McManus intends to retire on December 31, 2021. Mr. McManus was Chairman of the Compensation Committee and a member of the Audit and Environmental, Health & Safety Committees. John Everets was subsequently elected as Chairman of the Compensation Committee at the Board of Directors meeting on December 15, 2021 which will be effective on January 1, 2022. Mr. McManus was not replaced on the Audit and Environmental, Health & Safety Committees.
