(b) On July 25, 2025, the Board of Directors (the “Board”) of Chesapeake Utilities Corporation (the “Company”) accepted the resignation of Stephanie N. Gary as a Class I director of the Company and as a member of the Audit Committee of the Board. Ms. Gary offered her resignation in accordance with the Company’s Corporate Governance Guidelines in connection with a change in her employment.
