Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On and effective March 23, 2020, the Board of Directors of Lincoln National Corporation (“LNC” or the “Company”) approved and adopted Amended and Restated Bylaws of the Company (the “Bylaws”). Article I, Section 3 of the Bylaws was amended to add language that enables the Board to determine that a meeting of shareholders be held solely by means of remote communication in the manner and to the extent provided by Indiana Code Section 23-1-29-1.
