This current report on Form 8-K is filed by Pure Cycle Corporation ( Registrant ), a Colorado corporation, in connection with the matters described herein.

The Registrant held its annual meeting of shareholders on January 17, 2024. Holders of 24,085,720 shares of common stock outstanding on November 17, 2023, were entitled to vote at the meeting, of which 23,582,696 shares, or 97.9% of those entitled to vote, were present in person or by proxy at the meeting.
