Material Agreement

Digital Asset Acquisition Corp. (DAAQ) entered into a business combination agreement with Old Glory Holding Company (Old Glory Bank) on January 13, 2026, and is now entering into non-redemption agreements with unaffiliated third-party holders of its Class A Ordinary Shares. These agreements will result in DAAQ issuing Non-Redemption Warrants to these holders in exchange for their commitment not to redeem their shares in connection with the business combination.
