Company Update

Two Harbors Investment Corp. announced that its ad hoc committee determined a proposal from CrossCountry Mortgage, LLC ("CCM") to acquire all outstanding shares for "$10.70 per share in cash" constitutes a "Company Superior Proposal" under its existing merger agreement with UWM Acquisitions 1, LLC and UWM Holdings Corporation ("UWMC"). The Company also received another unsolicited proposal with a cash offer of "$10.75 per share" from a third party.
