On August 26, 2010, Westamerica Bancorporation issued a press release announcing a stock repurchase plan. On August 27, 2010, Westamerica Bancorporation filed a Form 8-K with the Securities and Exchange Commission containing such press release in Exhibit 99.1. The press release stated "This plan replaces the existing two million-share stock repurchase program, under which 1.7 million shares remained available to purchase as of June 30, 2009." Westamerica is amending such statement to read "This plan replaces the existing two million-share stock repurchase program, under which 1.7 million shares remained available to purchase as of June 30, 2010."
