Material Agreement

Live Oak Acquisition Corp. V entered into a Forward Purchase Agreement with a fund sub-advised by JBA Asset Management LLC to reduce redemptions in its proposed business combination with Teamshares Inc. The agreement is intended to take effect after Live Oak holds its shareholder meeting to vote on the merger.
