It is expected that the Annual Meeting will be held virtually on the internet, but the time and location of the Annual Meeting will be as set forth in the Company’s definitive proxy statement for the Annual Meeting to be filed with the Securities and Exchange Commission (“ SEC ”).   Because the date of the Annual Meeting represents a change of more than 30 days from the anniversary of the Company’s 2022 annual meeting of stockholders held on May 20, 2022, the Company has set a new deadline for the receipt of stockholder proposals submitted pursuant to Rule 14a-8 under the Securities Exchange Act of 1934, as amended (the “ Exchange Act ”), for inclusion in the Company’s proxy statement for the Annual Meeting.   Pursuant to the Company’s Second Amended and Restated Bylaws (the “ Bylaws ”), stockholders seeking to bring business before the Annual Meeting or to nominate candidates for election as directors at the Annual Meeting must deliver such proposals or nominations to the principal executive offices of the Company, at 725 5 th Avenue, 23 rd Floor, New York, New York 10022, Attention: Secretary, not later than June 17, 2023.
