Item 8.01 Other Events.
As previously disclosed,
on September 24, 2020, Aikido Pharma Inc. (the “Company”) received a deficiency notice from The Nasdaq Stock Market
(“Nasdaq”) informing the Company that its common stock failed to maintain a minimum bid price of $1.00 over the previous
30 consecutive business days as required by Nasdaq Listing Rule 5550(a)(2).
On January 22, 2021,
the Company received a letter from Nasdaq informing the Company that it had regained compliance with Nasdaq Listing Rule 5550(a)(2)
because for the last 11 consecutive business days, from January 6 through January 22, 2021, the closing bid price of the Company’s
common stock had been at $1.00 per share or greater. Accordingly, the Company has regained compliance with Nasdaq Listing Rule
5550(a)(2) and Nasdaq considers this matter closed.
On January 22, 2021,
the Company issued a press release announcing it regained compliance with Nasdaq Listing Rule 5550(a)(2) and Nasdaq considers this
matter closed. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated by reference.
