Certain Officers.
On July
16, 2025 , Charles P. Hadeed notified Transcat, Inc. (the “Company”) of his intention
to retire from the board of directors effective as of August 1, 2025. Mr. Hadeed’s resignation is not due to any disagreement with
the Company on any matter relating to the Company’s operations, policies, or practices. The Company thanks Mr. Hadeed for the insight
and significant contributions he has provided during his twenty-three years of distinguished service, including eighteen years as a director.
