Material Agreement

XOMA Royalty Corporation entered into an amendment to its Agreement and Plan of Merger with Ligand Pharmaceuticals Incorporated and Flex Merger Sub, Inc. on May 16, 2026, adding XOMA Royalty Holdings Corporation as a party to the agreement. This amendment is part of a previously disclosed merger transaction.
