Material Agreement

Ligand Pharmaceuticals Incorporated entered into an amendment to its Agreement and Plan of Merger with XOMA Royalty Corporation and its subsidiary, Flex Merger Sub, Inc., on May 16, 2026. This amendment adds XOMA Royalty Holdings Corporation as a party to the merger agreement.
