Capital One Financial Corporation (the "Company") is holding its 2026 Annual Stockholder Meeting on May 8, 2026. Shareholders will vote on the election of thirteen director nominees, an advisory resolution on named executive officer compensation, the ratification of Ernst & Young LLP as the independent registered public accounting firm for 2026, and a stockholder proposal regarding golden parachutes. The Board unanimously recommends voting FOR all proposals except the stockholder proposal, for which it recommends voting AGAINST.
