On February 6, 2025, the Corporate Governance and Nominating Committee of the Board of Directors of Flowserve Corporation, a New York corporation (the “Company”), reviewed and accepted the resignation of Carlyn R. Taylor from her position as a director of the Company effective immediately. Ms. Taylor was recently appointed as the new Chief Executive Officer and a member of the board of directors of Sirva Worldwide, Inc. In connection therewith and pursuant to the Company’s Corporate Governance Guidelines, Ms. Taylor tendered her resignation as a member of the Company’s Board of Directors (the “Board”). Ms. Taylor’s resignation was due to a change in her occupational responsibilities and business association and not as the result of any disagreement with the management or the Board. The Board thanks Ms. Taylor for her contributions to the Company during her service as a director.   Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On February 7, 2025, the Board approved an amendment the Bylaws, effective immediately. Article III, Section 2 of the Bylaws, which sets forth the number of directors of the Company, was amended by the Board to reduce the number of directors of the Company from eleven to ten.
