On February 4, 2025, National Fuel Gas Company (the “Company”) elected to exercise its optional redemption rights to redeem, subject to certain conditions, (a) the entire outstanding $450,000,000 aggregate principal amount of the Company’s 5.20% Notes due July 2025 (the “2025 Notes”) and (b) the entire outstanding $500,000,000 aggregate principal amount of the Company’s 5.50% Notes due January 2026 (together with the 2025 Notes, the “Notes”), and The Bank of New York Mellon, as trustee under the indenture governing the Notes, issued redemption notices to registered holders of the Notes. The date fixed for the redemption of the Notes is March 6, 2025. The Notes will be redeemed at the applicable redemption prices calculated in accordance with the terms and conditions set forth in the indenture governing and the officer’s certificates establishing the terms of the Notes. The foregoing does not constitute a notice of redemption with respect to any of the Notes.
