Section 5 – Corporate Governance and Management
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 13, 2025, Anthony DiSilvestro, the Chief Financial Officer (“CFO”) of Mattel, Inc. (“Mattel” or the “Company”), informed the Company of his intent to retire effective May 15, 2025. The Company has retained an executive search firm to assist with its CFO search.
To support the transition of his role to a successor, Mr. DiSilvestro has agreed to serve as an advisor to the Company for a period of 90 days following his retirement date. In exchange for such services, the Company will pay Mr. DiSilvestro an advisory fee in the amount of $50,000 per month.

On January 16, 2025, the Company issued a press release announcing Mr. DiSilvestro’s retirement, a copy of which is furnished as Exhibit 99.1 hereto.
