Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 10, 2024, Lincoln Electric Holdings, Inc. (the “Company”) announced that Christopher L. Mapes, Executive Chair of the Board of Directors of the Company (the “Board”), will retire from his position as Executive Chair and a member of the Board on December 31, 2024. Mr. Mapes’ decision to retire from the Board is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Board has elected Steven B. Hedlund, currently President and Chief Executive Officer and a Director, as Chair of the Board, effective as of January 1, 2025.
A copy of the Company’s press release announcing Mr. Mapes’ retirement from the Board and Mr. Hedlund’s appointment as Chair of the Board is attached hereto as Exhibit 99.1 and incorporated herein by reference.
