(the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with BofA Securities, Inc., Deutsche Bank Securities Inc., Goldman Sachs & Co. LLC and J.P. Morgan Securities LLC, as the representatives of the several underwriters named on Schedule 1 thereto, with respect to the Company’s issuance and sale of $1.25 billion aggregate principal amount of senior notes, consisting of $850 million aggregate principal amount of 5.150% notes due 2034 and $400 million aggregate principal amount of 5.500% notes due 2054. The offering is expected to close on May 28, 2024, subject to customary closing conditions.
