Regulation FD Disclosure. On November 20, 2023, Jacobs Solutions Inc. (the “Company”) announced the execution of certain definitive agreements providing for a combination of its Critical Mission Solutions and Cyber & Intelligence government services businesses with Amentum Parent Holdings LLC in a Reverse Morris Trust transaction, on the terms and conditions set forth in such agreements (the “Transaction”). The Company has updated its monthly investor presentation, which the Company intends to use in one or more meetings with investors and analysts, to include certain additional information about the Transaction.
