Departure of Directors or Certain Executive Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On May 17, 2023, Air Products and Chemicals, Inc. (the “Company”) entered into an amended and restated employment agreement (the “Agreement”) with its Chief Executive Officer, Seifollah Ghasemi. The Agreement extends the term of Mr. Ghasemi’s employment from September 30, 2025 to September 30, 2028. Commencing September 30, 2024 and on each anniversary date afterwards, the term of the Agreement will automatically be extended by one year, unless either party provides notice of non-renewal at least 30 days prior to the applicable renewal date or the Agreement is otherwise terminated by either party pursuant to its terms. In addition to extending the term of his employment, the Agreement also made certain other updates to Mr. Ghasemi’s prior employment agreement. On May 18, 2023, the Company issued a press release announcing the extension of Mr. Ghasemi’s employment agreement.
