Item 5.03
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 4, 2022, the Board of Directors of The Goodyear Tire & Rubber Company (the “Company”) approved amendments to Article II, Section 2 of the Company’s Code of Regulations to provide, among other things, that a shareholder’s notice of nomination of a candidate for election as a director must also include a completed director and shareholder questionnaire and an agreement to comply with law with respect to the nomination and that the shareholder’s notice must be promptly updated if any of the information therein ceases to be accurate or complete in any material respect. These amendments became effective immediately upon their approval by the Board.
