On March 23, 2022, Alice N. Schwartz, a director and co-founder of Bio-Rad Laboratories, Inc. (the “Company”), informed the Company of her decision not to stand for re-election to the Company’s Board of Directors at the 2022 Annual Meeting of Stockholders. The Company is indebted to Alice N. Schwartz for her many years of service and immeasurable contributions to the Company as a co-founder and as a longtime director. On March 23, 2022, the Company’s Board of Directors appointed Mrs. Schwartz as a Director Emeritus, effective as of April 26, 2022. A Director Emeritus has the option to attend Board meetings and receive Board materials at the discretion of the Secretary of the Company but does not have voting power and does not receive compensation.
