Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On March 14, 2022, Brian E. Keeley delivered notice of his resignation from the Board of Directors (the “ Board ”) of Watsco, Inc., a Florida corporation (the “ Company ”) effective April 15, 2022. Mr. Keeley was elected by the holders of the Company’s Common stock, and his term was to expire at the Company’s 2023 annual meeting of shareholders. Mr. Keeley’s resignation from the Board was not due to any disagreement with the Company, and Mr. Keeley will join the Company’s Advisory Board effective April 15, 2022.
