Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. (a)    On August 17, 2021, the Board of Directors (the “Board”) of General Motors Company (the “Company”) approved amendments to the Company’s Bylaws (the “Amended and Restated Bylaws”), which became effective immediately. The amendments adopted gender-neutral language, replacing “chairman” with “chair” and “his or her” with “their.” The foregoing description of the amendments to the Amended and Restated Bylaws is qualified in its entirety by reference to the text of the Amended and Restated Bylaws. The Amended and Restated Bylaws, along with a copy marked to show changes from the prior Bylaws, are included as Exhibits 3.1 and 3.2, respectively, to this Current Report on Form 8-K and are incorporated herein by reference.   Item 9.01 Financial Statements and Exhibits.
