On May 7, 2020, Kewaunee Scientific Corporation (the “Company”) obtained a loan (the “Loan”) from Wells Fargo Bank, National Association (the “Lender”) in the aggregate amount of $7,980,419 pursuant to the Paycheck Protection Program (“PPP”) under the Coronavirus Aid, Relief, and Economic Security Act (the “CARES Act”). The Loan is evidenced by a promissory note dated May 3, 2020 (the “Note”). The Loan matures on May 3, 2022, bears interest at a fixed rate of 1.00% per annum, and is unsecured and guaranteed by the Small Business Administration (the “SBA”). Beginning on November 1, 2020, the Company is required to make 18 monthly payments of principal and interest in the amount of $338,611.74. All remaining unpaid principal, accrued interest, and any other unpaid amounts shall be due and payable in full upon maturity. The Note may be prepaid by the Company at any time prior to maturity with no prepayment penalties. The Note provides for customary events of default including, among other things, payment defaults, making materially false or misleading representations to the Lender or the SBA, or failing to comply with the provisions of the Note. The Loan may be accelerated upon the occurrence of an event of default. Under the terms of the CARES Act, PPP loan recipients can apply for and be granted forgiveness for all or a portion of such loans. Such forgiveness will be determined, subject to limitations, based on the use of loan proceeds for payment of payroll costs and any covered payments of mortgage interest, rent, and utilities. The Company intends to apply to the Lender for forgiveness of the Loan in accordance with the terms of the CARES Act; however, no assurance can be provided that the Company will obtain forgiveness of the Loan in whole or in part. A copy of the promissory note will be filed as an exhibit to the Company’s Form 10-K for the fiscal year ended April 30, 2020.
