The Company’s stockholders approved the 2020 Plan at the 2020 Annual Meeting of Shareholders (the “2020 Annual Meeting”) held on May 6, 2020. The 2020 Plan is further described in the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on March 20, 2020. The foregoing description of the terms of the 2020 Plan is qualified in its entirety by reference to the actual terms of the 2020 Plan, which is attached hereto as Exhibit 10.1 and incorporated herein by reference. Item 5.07 Submission of Matters to a Vote of Security Holders Ducommun Incorporated (the “Company”) held its 2020 Annual Meeting of Shareholders on May 6, 2020 (the “2020 Annual Meeting”). At the 2020 Annual Meeting, the shareholders approved (1) the election of Messrs. Richard A. Baldridge and Stephen G. Oswald as directors to serve for a three-year term ending at the Company’s 2023 Annual Meeting of Shareholders and until their successors have been elected and qualified, (2) approval of the Company’s executive compensation on an advisory basis, (3) approval of the Company’s 2020 Stock Incentive Plan, and (4) the ratification of the selection of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the Company’s fiscal year ending December 31, 2020.
