Election of Directors. On August 13, 2018, Mattel, Inc. (the “Company”) filed a Current Report on Form 8-K with the U.S. Securities and Exchange Commission to report that the Board of Directors (the “Board”) of the Company elected Adriana Cisneros and Roger Lynch as new directors on such date, effective immediately (the “Original Filing”). At the time, the Company had not made a determination regarding any Board committee assignments for Ms. Cisneros or Mr. Lynch. On September 26, 2018, the Board appointed Ms. Cisneros to the Company’s Governance & Social Responsibility Committee, and also appointed Mr. Lynch to the Company’s Audit Committee and Finance Committee. The Original Filing is now being amended hereby to report such appointments. Other than the preceding disclosure, no other changes have been made to the Original Filing pursuant to this Report.
