(the “Company”) has been the subject of an investigation by the SEC (the “Investigation”) related to the Company’s internal control over financial reporting and disclosure controls and procedures. Additional information regarding the Investigation can be found in the Company’s Form 10-Q for the quarterly period ended June 30, 2018 filed with the SEC on August 7, 2018. On August 22, 2018, the Company received a notice from the SEC (the “Notice”) stating that the SEC has concluded the Investigation and, based on the information that the SEC has as of the date of the Notice, the SEC has decided to not recommend an enforcement action against the Company relating to the Investigation. The Notice was provided under the guidelines set forth in the final paragraph of Securities Act Release No. 5310.
