Other Events. As previously reported, on February 23, 2017, Watsco, Inc., a Florida corporation (the “ Company ”), entered into an Underwriting Agreement with Goldman, Sachs & Co., as representative of the underwriters named therein, and the selling shareholders named therein (the “ Selling Shareholders ”), relating to the underwritten public offering by the Selling Shareholders of 4,235,685 shares of the Company’s Common stock, par value $0.50 per share (the “ Shares ”), pursuant to the Company’s Registration Statement on Form S-3 (File No. 333- 207831) filed on November 5, 2015. The offering of the Shares closed on February 28, 2017. No shares were sold by the Company, and the Selling Shareholders received all of the proceeds from this offering.
