Item 3.01 Notice of Delisting or Failure to Satisfy
a Continued Listing Rule or Standard; Transfer of Listing.
On September 29, 2023, EVI Industries,
Inc. (the “Company”) received notice (the “Notice”) from NYSE Regulation that the Company was not in compliance
with the timely filing criteria established in the NYSE American Company Guide as a result of the delayed filing of the Company’s
Annual Report on Form 10-K for the fiscal year ended June 30, 2023 (the “Form 10-K”). In accordance with Section 1007 of the
NYSE American Company Guide, the Company had an automatic six-month cure period to regain compliance with the NYSE American’s continued
listing standards by filing the Form 10-K with the SEC.
On October 5, 2023, the Company
filed the Form 10-K with the SEC and, accordingly, has regained compliance with the NYSE American’s continued listing standards.
