Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year . On September 17, 2020 the Board of Directors approved an amendment to the Bylaws of the Company (new Section 15 of Article II) to allow for the authorization of the implementation of reasonable measures to provide for shareholders not physically present at a shareholders’ meeting to participate in such meeting. The amendment provides that voting shall be permitted only by means of attending the meeting in person or through the delivery of a proxy in advance of the meeting. Item 8.01 Other Events On September 21, 2020 Espey Mfg. & Electronics Corp. issued a press release announcing that the Company's Board of Directors had declared regular dividend of $0.25 per share for the first quarter of the fiscal year ending June 30, 2021.
