of Certain Officers.
On February 24, 2022, Badger Meter, Inc. announced that Melanie K. Cook, 49, Retired Chief Operating Officer of GE Appliances (a Haier Company),
has been appointed a director of the Company effective as of February 24, 2022. Ms. Cook will serve until the Company’s next Annual Meeting of Shareholders.
Ms. Cook will receive compensation consistent with the Company’s other non-employee directors as described under “Director Compensation Table
and Components of Director Compensation” in the Company’s Proxy Statement filed with the U.S. Securities and Exchange Commission.
A copy of the press release related to the appointment of Ms. Cook is being filed as Exhibit 99.1 to this Current Report on Form 8-K and is
incorporated into this Form 8-K by reference.
