Item 5.02.
Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.
On June 18, 2018, the Board of Directors of Colgate-Palmolive Company
(the “Company”) elected Mr. Philip G. Shotts Vice President and
Controller of the Company. In this capacity Mr. Shotts will serve as
the Company’s principal accounting officer. Mr. Shotts, 63, joined the
Company in 1990 and has held key financial roles at the Company, serving
as its Vice President and Assistant Controller since 2003.

On June 18, 2018, the Company issued a press release regarding the Board
of Directors’ authorization of a new share repurchase program. A copy of
the press release is attached hereto as Exhibit 99 and is incorporated
herein by reference.
