Appointment of Director Modine Manufacturing Company (the “Company”) announced that on May 9, 2022, the Company’s Board of Directors appointed David J. Wilson as director, to fill the vacant seat created by the departure of David G. Bills in January 2022. Mr. Wilson was appointed to the class of directors with terms ending in 2022. His term commenced immediately and will continue until his successor is duly elected or until his earlier death, resignation or removal. Mr. Wilson has been named to the Audit Committee and the Corporate Governance and Nominating Committee. Item 8.01 Other Events. On May 12, 2022, the Company issued a press release announcing Mr. Wilson’s appointment, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
