Item 1.01.
Entry into a Material Definitive Agreement.
On March 31, 2022 (the “Closing Date”), Brunswick Corporation, a Delaware corporation (the “Company”), entered into an Amended and Restated Credit Agreement
(the “Revolving Credit Agreement”) with certain wholly-owned subsidiaries of the Company as subsidiary borrowers and lenders as parties, and JPMorgan Chase Bank, N.A. (“JPMorgan”), as administrative agent. The Revolving Credit Agreement amends and
restates the Company’s existing credit agreement, dated as of March 21, 2011, as amended and restated as of June 26, 2014, as further amended and restated as of June 30, 2016, as further amended as of July 13, 2018, as further amended and restated as
of September 26, 2018, as further amended as of November 12, 2019, and as further amended and restated as of July 16, 2021 (the “Prior Credit Agreement”). The Revolving Credit Agreement increases the revolving commitments to $750,000,000, with the
capacity to add up to $100,000,000 of additional revolving commitments, and amends the Prior Credit Agreement in certain respects, including, among other things:

Extending the maturity date to March 31, 2027, with up to two one-year extensions available.
•
Transitioning the reference rate for loans denominated in U.S. dollars from the London interbank offered rate (LIBOR) to the term Secured Overnight
Financing Rate (SOFR), with a credit spread adjustment of 10 basis points to be added to the reference rate for borrowings of U.S. dollar loans for each interest period.
The foregoing description of the Revolving Credit Agreement is not complete and is qualified in its entirety by reference to the Revolving Credit Agreement,
which is filed as Exhibit 10.1 to this Form 8-K and is incorporated herein by reference.
