Appointment of Directors
On October 21, 2021, the Board of Directors of Modine Manufacturing Company approved an increase to the number of directors from nine to ten and appointed Katherine Harper
as director. Ms. Harper was appointed to the class of directors with terms ending in 2022. Her term commences on January 20, 2022, subject to customary background diligence, and will continue until her successor is duly elected or until her earlier
death, resignation or removal. Ms. Harper will be a member of the Audit Committee.
