Other Events. On November 17, 2020, Bristol-Myers Squibb Company, a Delaware corporation (“Bristol Myers Squibb”), announced the completion of the acquisition of all of the outstanding shares of common stock, par value $0.0001 per share (the “Shares”), of MyoKardia, Inc., a Delaware corporation (“MyoKardia”). The acquisition of the Shares was structured as a two-step transaction, with a cash tender offer by Gotham Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of Bristol Myers Squibb (“Merger Sub”), for the Shares at a price of $225.00 per Share, net to the seller in cash (without interest) but subject to any required withholding taxes, upon the terms and subject to the conditions set forth in the Offer to Purchase and the related Letter of Transmittal, each as amended and supplemented, filed by Bristol Myers Squibb and Merger Sub with the Securities and Exchange Commission (the “SEC”) on October 19, 2020, followed by the merger of Merger Sub with and into MyoKardia.
