A copy of the Agreement is attached as Exhibit 10.1 to this Current Report on Form 8-K, and the foregoing description of the Agreement is qualified in its entirety by reference to Exhibit 10.1.   Item 7.01 Regulation FD Disclosure   On November 11, 2025, the Company issued a press release announcing the Agreement.
