On November 19, 2024, Stuart Aitken, Senior Vice President and Chief
Merchant and Marketing Officer, notified The Kroger Co. (the “Company”) of his intention to resign from his position at the
Company effective January 1, 2025, in order to pursue other professional opportunities.
