On December 1, 2023, Dr. Kathy Hopinkah Hannan
notified the board of directors of Carpenter Technology Corporation (the “Company”) of her intention to resign as a director
of the Company, effective December 7, 2023. Her resignation was not due to any disagreement with the Company or its management
regarding any matter relating to the Company’s operations, policies or practices.
