Item 8.01 Other Events.
On November 14, 2023, Nathan’s Famous, Inc. (the
“ Company” ) irrevocably called for redemption $20.0 million (the “ Redeemed
Notes” ) of the Company’s outstanding $80.0 million of 6.625% Senior Secured Notes due 2025 (the “ Notes” ).
The Redeemed Notes will be redeemed on December 19, 2023 (the “ Redemption Date” )
at a redemption price equal to 100.00% of the principal amount thereof in accordance with the terms of the Indenture (the “ Indenture” )
dated as of November 1, 2017 among the Company, the guarantors party thereto and U.S. Bank Trust Company, National Association (formerly
U.S. Bank National Association), as trustee (the “ Trustee ”). Prior to the
Redemption Date, the Company will deposit with the Trustee an amount of funds sufficient to redeem the Redeemed Notes (including accrued
interest thereon up to, but not including the Redemption Date) in accordance with the terms of the Indenture.
