SECTION 1 – REGISTRANT’S BUSINESS
AND OPERATIONS
Item 1.01 Entry into a Material Definitive Agreement.
As previously reported, on January 31, 2023,
Deluxe Corporation, a Minnesota corporation (the “Company”), through its subsidiary, Deluxe Small Business Sales, Inc.,
a Minnesota corporation (“Seller”), entered into a Stock and Asset Purchase Agreement (as amended from time to time, the
“Sale Agreement”) with HostPapa, Inc., an Ontario corporation (“Purchaser”), for the sale of all of the
outstanding equity interests of certain subsidiaries of Seller and the sale of certain assets, and the assumption of certain liabilities,
of Seller and certain of its affiliates related to the Company’s web hosting business. On June 26, 2023, Seller and Purchaser
entered into an amendment to the Sale Agreement to reduce the base purchase price for the transaction from $42,000,000 to $35,950,000
by removing a $6,050,000 post-closing deferred payment that would have been payable to Seller 365 days after the closing date.

On June 29, 2023, the Company closed the
transaction described in Item 1.01 above pursuant to the Sale Agreement.
