Regulation FD Disclosure.   On May 22, 2023, American International Group, Inc. (the “Company”) entered into a stock purchase agreement (the “Purchase Agreement”), dated May 22, 2023, by and between the Company and RenaissanceRe Holdings Ltd., a Bermuda exempted company limited by shares (“Acquiror”), pursuant to which, upon the terms and subject to the conditions set forth therein, the Company has agreed to sell its interests in Validus Holdings, Ltd. and Validus Specialty, LLC to Acquiror (the “Transaction”). In connection with the Transaction, the Company has made available to investors the presentation, dated May 22, 2023, attached as Exhibit 99.1 to this Current Report on Form 8-K .   The information in Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1 hereto, shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
