Results of Operations and Financial Condition.   On May 4, 2023, American International Group, Inc. (the “Company”) issued a press release (the “Press Release”) reporting its results for the quarter ended March 31, 2023. A copy of the Press Release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.   Section 8 - Other Events   Item 8.01. Other Events.   The Company also announced in the Press Release that its Board of Directors has declared a cash dividend of $0.36 per share on its Common Stock, which represents a 12.5% increase from prior quarterly dividends on AIG Common Stock. The Board also declared a cash dividend of $365.625 per share on its Series A 5.85% Non-Cumulative Perpetual Preferred Stock, which is represented by depositary shares, each of which represents a 1/1,000th interest in a share of preferred stock, holders of which will receive $0.365625 per depositary share.
