Item 7.01. Regulation FD Disclosure.
On December 9, 2021, Lee Enterprises, Incorporated
(the “Company”) issued a press release announcing that its Board of Directors has unanimously rejected the unsolicited proposal
received from Alden Global Capital, LLC on November 22, 2021 to acquire the Company for $24.00 per share in cash. A copy of the press
release is furnished as Exhibit 99.1 to this Report.
